Terms & Conditions

1. Agreement

These Terms & Conditions ("Terms") constitute a legally binding agreement between Digital Creations ("we", "our", "us"), a digital agency based in Haverfordwest, Wales, United Kingdom, and you ("Client", "you").

By engaging our services — whether through our website, email, or any other communication channel — you confirm that you have read, understood, and agreed to these Terms.

2. Our Services

Digital Creations provides the following services:

• Web Design & Development (custom websites, WordPress, e-commerce)
• Branding & Graphic Design (logos, brand identity, print assets)
• App Development (iOS, Android, custom software)
• Social Media Marketing & Management
• SEO & Digital Marketing

The specific scope of work, deliverables, timelines, and fees for each project will be agreed upon in a separate project proposal or contract.

3. Payment Terms

Our payment terms are as follows:

• Deposit: A 50% non-refundable deposit is required before any work commences
• Final Payment: The remaining 50% is due upon project completion, before final files are delivered
• Ongoing Services: Monthly services are invoiced monthly in advance
• Late Payments: Invoices unpaid after 14 days may incur a late payment fee of 5% per month
• Currency: All prices are in GBP (£) unless otherwise agreed

We reserve the right to suspend work on any project where payment is overdue by more than 14 days.

4. Intellectual Property

Upon receipt of full payment, all intellectual property rights for custom-created work transfer to the Client.

Until full payment is received, Digital Creations retains all rights to the work created. We reserve the right to:

• Display completed work in our portfolio
• Use project details as case studies in our marketing materials
• Include a "Designed by Digital Creations" credit in website footers

5. Client Obligations

To ensure projects run smoothly, the Client agrees to:

• Provide all required content, assets, and information in a timely manner
• Designate a single point of contact for all project communication
• Provide clear, consolidated feedback within agreed timeframes
• Ensure all content provided is original or properly licensed
• Make payments as per the agreed schedule

6. Revisions & Amendments

Our standard project packages include a defined number of revision rounds as specified in the project proposal. Additional revisions beyond the agreed scope will be charged at our standard hourly rate of £65/hour.

7. Project Timelines

Project timelines are estimates and are contingent on the Client providing required materials and feedback on time. We are not liable for delays caused by:

• Late provision of content, assets, or feedback by the Client
• Third-party services or platforms
• Force majeure events beyond our reasonable control

8. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the project. This includes business strategies, financial information, and proprietary processes. This obligation survives the termination of our working relationship.

9. Limitation of Liability

To the maximum extent permitted by law, Digital Creations shall not be liable for:

• Any indirect, incidental, or consequential loss or damage
• Loss of business, revenue, profit, or data
• Any damage arising from third-party services or platforms
• Website downtime caused by hosting providers

Our total liability in connection with any project shall not exceed the total fees paid by the Client for that specific project.

10. Termination

Either party may terminate a project with 14 days written notice. In the event of termination:

• The Client will pay for all work completed up to the termination date
• The initial 50% deposit is non-refundable
• Digital Creations will deliver all completed work upon receipt of outstanding payment

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
